Welcome to PropWell.in (“PropWell”, “Platform”, “we”, “us”, or “our”).
PropWell.in is a digital technology platform designed for real estate professionals, including independent real estate agents, brokers, brokerage firms and other authorized real estate professionals (“Agent”, “User”, “you”, or “your”).
By accessing, registering on, subscribing to, or using PropWell.in, you acknowledge that you have read, understood and agreed to these Terms & Conditions.
If you do not agree with these Terms, you should not use the Platform.
1. Nature of the Platform
PropWell is a technology and digital workspace platform that enables real estate professionals to organize, manage and present their real estate business digitally.
Depending on the services available to your account, PropWell may provide features including:
• Property portfolio management
• Property listing creation and management
• Property images and document management
• Agent profile and branded property pages
• Client and prospect management
• Follow-up and pipeline management
• Property search and filtering
• Property sharing through digital links
• Enquiry management
• Notifications and communications
• Activity tracking and system records
• Other tools and services introduced from time to time
PropWell does not itself act as a builder, developer, property owner, real estate broker, agent, channel partner, financial advisor, legal advisor or property consultant unless expressly stated otherwise.
2. No Property Transaction by PropWell
PropWell does not itself sell, purchase, lease, rent, develop or own the properties listed by Users.
Any property transaction, negotiation, agreement, payment, booking, sale, purchase, lease or other arrangement is solely between the relevant parties.
PropWell is not a party to such transactions and does not guarantee the completion, validity or outcome of any transaction.
3. User Responsibility
Users are solely responsible for:
• The accuracy of information submitted to the Platform
• The authenticity of property details
• Property ownership and authority to list the property
• Photographs, videos and other media uploaded
• Property documents and credentials uploaded
• Pricing and availability information
• Location and project information
• Approvals, permissions, registrations and licences
• Communication with clients and prospects
• Compliance with applicable real estate laws and regulations
• Obtaining all necessary permissions or consents from property owners, clients and other persons
You must not upload, publish or share information that you do not have the right or authority to use.
4. Property Listings
PropWell provides technology through which Users may create and display property listings.
PropWell does not guarantee that:
• A property exists as described
• A User has legal ownership or authority over a property
• Property information is accurate or complete
• Documents are genuine or legally valid
• A property is available for sale, lease or other transaction
• Pricing is current
• Approvals or registrations are valid
• Any transaction will be completed
Users and prospective clients should independently verify all relevant information before proceeding with any transaction.
5. User Account
You are responsible for maintaining the confidentiality of your login credentials.
You must immediately inform PropWell if you believe that:
• Your account has been accessed without authorization
• Your password has been compromised
• Your account information has been misused
• Any unauthorized activity has occurred
You are responsible for activities carried out through your account unless the activity resulted from circumstances demonstrably beyond your reasonable control.
6. Account Information
You agree to provide accurate and current information while creating and maintaining your account.
PropWell may request additional information or documentation where reasonably required for verification, security, compliance, fraud prevention or service administration.
PropWell may suspend or restrict accounts where information appears false, misleading, fraudulent, unauthorized or otherwise in violation of these Terms.
7. Content Ownership
You retain ownership of the content that you lawfully upload to PropWell, including property descriptions, photographs, videos, documents, logos and other materials (“User Content”).
By uploading User Content, you grant PropWell a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, display, transmit and technically modify such content solely to operate, maintain, secure and provide the Platform and its services.
PropWell does not acquire ownership of your property listings or business content merely because you use the Platform.
8. Data and Business Records
PropWell may maintain records relating to the operation and use of the Platform.
Such records may include:
• Account creation and registration records
• Login and logout records
• IP addresses
• Device and browser information
• Date and time of activities
• Property creation, editing and deletion records
• Listing status changes
• Document uploads and changes
• Client and prospect activity entered by the User
• Enquiries and interactions generated through the Platform
• Sharing activity and listing access information
• Notification and communication records
• Administrative actions
• Security and fraud-prevention logs
• Technical error and diagnostic records
• Subscription, billing and payment-related records
• Support requests and correspondence
• Other records reasonably necessary for operating, securing and improving the Platform
These records may be used for security, audit, troubleshooting, dispute resolution, fraud prevention, service improvement, legal compliance and other legitimate operational purposes.
9. No Guarantee of Continuous Availability
PropWell aims to provide a reliable and secure service but does not guarantee that the Platform will always be uninterrupted, error-free or available.
The Platform may occasionally be unavailable due to:
• Maintenance
• Upgrades
• Technical failures
• Hosting or infrastructure issues
• Internet or network failures
• Security incidents
• Third-party service failures
• Events beyond our reasonable control
10. Prohibited Activities
Users must not use PropWell to:
• Publish fraudulent or misleading property information
• Impersonate another person or organization
• Upload unauthorized documents or personal information
• Misuse another person's account
• Attempt unauthorized access to the Platform
• Circumvent security mechanisms
• Introduce malicious code or harmful software
• Scrape, copy or systematically extract Platform data without permission
• Use the Platform for unlawful activities
• Violate applicable laws or regulations
• Infringe intellectual property or privacy rights
• Misuse client or prospect information
• Publish content that is unlawful, defamatory, abusive or misleading
11. Verification and Moderation
PropWell may, but is not obligated to, review listings, accounts, documents or other User Content.
Where reasonably necessary, PropWell may:
• Request additional information
• Flag content
• Restrict visibility
• Suspend a listing
• Remove content
• Suspend or terminate an account
Such actions may be taken for security, legal compliance, fraud prevention, policy violations or protection of the Platform and its Users.
12. Third-Party Services
The Platform may use third-party services for hosting, analytics, communication, authentication, payment processing, notifications, storage or other technical functions.
The availability of such services may be subject to the terms and policies of those third parties.
13. Intellectual Property
The PropWell name, logo, design, software, interface, platform architecture, graphics, text, features and other proprietary elements of the Platform are owned by or licensed to PropWell or its service provider, except for User Content.
Users may not copy, reproduce, modify, reverse engineer, distribute, sell or commercially exploit PropWell's proprietary technology or materials without written permission.
14. Subscription and Payments
Where paid services are offered, the applicable pricing, subscription period, features and payment conditions will be communicated at the time of purchase.
Unless otherwise specified, subscription fees are for access to the applicable Platform services and do not constitute payment for property transactions.
Any applicable taxes, payment gateway charges or other statutory charges may be additional.
15. Suspension and Termination
PropWell may suspend, restrict or terminate access to an account where:
• These Terms are violated
• False or misleading information is provided
• Fraudulent or unlawful activity is suspected
• The account creates a security risk
• Required payments remain unpaid
• Continued access may create legal or operational risk
Users may request closure of their account subject to applicable contractual, legal and record-retention requirements.
Termination does not automatically require deletion of records that PropWell is legally required or reasonably entitled to retain.
16. Limitation of Liability
To the maximum extent permitted by applicable law, PropWell shall not be liable for:
• Property-related losses
• Incorrect information supplied by Users
• Failed transactions
• Loss of expected profits
• Disputes between agents and clients
• Property title or ownership disputes
• Fraud committed by Users or third parties
• Loss arising from reliance on User Content
• Temporary Platform unavailability
• Third-party service failures
• Indirect or consequential losses
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
17. Indemnity
You agree to indemnify and hold harmless PropWell, its owners, operators, employees, service providers and affiliates from claims, losses, liabilities, damages, costs and expenses arising from:
• Your use of the Platform
• Your User Content
• Your property listings
• Your dealings with clients or third parties
• Violation of these Terms
• Violation of applicable laws
• Infringement of another person's rights
18. Changes to These Terms
PropWell may update these Terms from time to time.
Updated Terms will be published on the Platform with a revised “Last Updated” date.
Continued use of the Platform after an update constitutes acceptance of the revised Terms, subject to applicable law.
19. Governing Law
These Terms shall be governed by the laws of India.
Subject to applicable law, disputes relating to the Platform shall be subject to the jurisdiction of the competent courts having jurisdiction over the place of the Platform's registered/operator office.
